Board can’t pass standards expressly delegated to committee

The board of directors of a nonprofit medical association has no authority to establish standards for the appointment of psychoanalytic training analysts when the bylaws of the corporation expressly assign the duty to set training standards to a committee, an appellate court in New York has affirmed.
