Board may expand its number, expel member
The board of a Louisiana nonprofit corporation has the authority under the state nonprofit corporation law and its own bylaws to expand its number, refuse to seat a board member accused of an ethical violation, and expel the member from its membership, an appellate court in Louisiana has held. It affirmed a trial court decision that dismissed the individual’s claim. John B. Wells was a member of the Alliance for Good Government, Inc., and was elected to a one-year term on the board by one of its local chapters.
