Officer/director entitled to indemnification from foundation
The president and director of a nonprofit foundation that was an integral part of a financial management and investment family of companies is entitled to indemnification for legal fees incurred in defending against fraud claims brought by the federal government against him and many of the companies. An appellate court in California has ruled that the foundation’s bylaws require payment when the federal litigation was resolved in favor of the officer.
